NOGU “Guess & Win” Valentines Giveaway Official Rules

1. Sponsor
   The NOGU “Guess & Win” Giveaway (the “Giveaway”) is sponsored and administered by NOGU (“Sponsor”). This Giveaway is in no way sponsored, endorsed, administered by, or associated with Instagram, Facebook or Meta.

2. Eligibility

   • Open only to legal residents of the United States (including the District of Columbia) and Canada who are at least 18 years old (or the age of majority in their state or province/territory of residence) at the time of entry.
   • Employees, officers, and directors of the Sponsor, its affiliates, advertising and promotion agencies, and their immediate family members or persons living in the same household are not eligible to enter.

3. Giveaway Period
   The Giveaway begins on 31/01/25 at 12:00 AM EST] and ends on 02/09/25 at 11:59 PM EST (the “Giveaway Period”). Entries submitted before or after the Giveaway Period will not be eligible.

4. How to Enter
   No Purchase Necessary. During the Giveaway Period:

   1. Follow @NOGU on Instagram.
   2. Provide the required consent to receive emails and/or messenger updates (if requested), which will be used solely for Giveaway administration and future promotional communication, subject to your consent and applicable privacy laws.
   3. Comment with your guess or submission as requested by the Sponsor’s official Giveaway post.

   Limit one entry per person/Instagram/Messenger account unless otherwise stated in the official Giveaway post. Multiple entries from the same person using different accounts may result in disqualification. Incomplete or non-compliant entries will be void.

5. Entry Guidelines and Restrictions

   • Entries must comply with Instagram’s Terms of Use and Community Guidelines.
   • Any entry that is deemed inappropriate, offensive, or in violation of any law, as determined by the Sponsor in its sole discretion, may be disqualified.

6. Selection of Winner

   • The winner will be determined on or about 02/10/25. The Sponsor will select the entry(ies) that has the closest guess (based on the criteria described in the Giveaway post). If multiple participants guess correctly, the winner will be determined by a random draw among those correct guesses.
   • The potential winner will be notified via direct message (DM) on Instagram. The potential winner must follow the instructions provided in the DM to claim the prize (e.g., respond with confirmation of eligibility and shipping address) within 72 hours of the notification or the prize may be forfeited, and an alternate winner may be selected.

7. Prize

   • Prize Description: Three (3) sets of bracelets (exact style and quantity as specified in the Giveaway post).
   • The approximate retail value (ARV) of the prize is approximately $199.99 USD.
   • All federal, state, provincial, local, or other taxes arising from acceptance of the prize are the sole responsibility of the winner. Any additional expenses not specified are the winner’s responsibility.
   • The prize is non-transferable, and no substitution will be made except as provided herein at the Sponsor’s sole discretion.

8. Odds of Winning
   Odds of winning depend on the number of eligible entries received and the accuracy of entries submitted.

9. Publicity Release
   Except where prohibited, by participating in this Giveaway, each entrant agrees to the use of their name, username, city/state/province, and/or likeness for advertising, promotional, and other purposes in any media without further compensation or notification.

10. Privacy and Data Collection
    Personal information provided by entrants will be used only for the administration of the Giveaway and as otherwise permitted by law, in accordance with the Sponsor’s Privacy Policy. By providing your email and messenger consent, you agree to receive communications from the Sponsor in connection with this Giveaway and future promotions (unless you opt out at a later time).

11. General Conditions

• The Giveaway is subject to all applicable federal, state, provincial, territorial, municipal, and local laws and regulations and is void where prohibited by law.
• The Sponsor reserves the right, in its sole discretion, to disqualify any individual found to be tampering with the entry process or acting in a disruptive manner.
• The Sponsor reserves the right to cancel, suspend, or modify the Giveaway if fraud, technical failures, or any other factor beyond the Sponsor’s reasonable control impairs the integrity of the Giveaway, as determined by the Sponsor in its sole discretion.

12. Release of Liability
    By participating, entrants agree to release and hold harmless the Sponsor, Instagram, and their respective subsidiaries, affiliates, advertising and promotion agencies, partners, representatives, agents, successors, assigns, employees, officers, and directors from any liability, illness, injury, death, loss, litigation, claim, or damage that may occur, directly or indirectly, from participation in the Giveaway or from acceptance, possession, use, or misuse of any prize.

13. Disputes
    Any disputes arising under these Official Rules will be governed by the laws of the state/province in which the Sponsor is located, without regard to its conflict of laws principles. Any legal suit or proceeding relating to the Giveaway shall be brought in the federal or state/provincial courts located in that jurisdiction.
